These Coach Cooperation Terms set out the rules under which a coach uses the Sportstep platform, creates a coach profile, offers services, receives orders, uses subscription plans, receives payments, and cooperates with Sportstep.
These Coach Cooperation Terms apply together with:
- the Sportstep Terms and Policies;
- the Privacy Policy;
- the Order and Reservation Terms;
- other rules and policies applicable on the Platform where expressly stated.
If there is a conflict between these Coach Cooperation Terms and other Sportstep documents, these Coach Cooperation Terms take precedence for the coach–Sportstep cooperation relationship.
1. General provisions
1.1. The Platform is operated by Sportstep, UAB, company code 307605923, registered address Rimvydo g. 15-16, LT-50233 Kaunas, Lithuania, email [email protected], website www.sportstep.lt.
1.2. In these terms:
a) Sportstep, we, us, our means Sportstep, UAB;
b) Coach, you, your means a natural or legal person using the Platform to offer sports or related services;
c) Client means a person linked to a coach on the Platform who orders paid coach services;
d) Guest means a person without a Platform account using limited public features;
e) Platform means the Sportstep website, mobile application, and related digital tools.
1.3. By using the Platform as a coach, you confirm that you have read, understood, and agree to these terms.
1.4. The coach acts independently and provides services to clients in their own name. Nothing in these terms creates employment, agency, joint venture, partnership, or franchise relations between the coach and Sportstep.
2. Purpose of the Platform and Sportstep’s role
2.1. Sportstep provides a technical and organisational environment in which a coach may:
a) create a profile and be visible in the public coach directory;
b) provide information about themselves, their activity, and services;
c) offer a free initial consultation to Guests or logged-in users;
d) invite clients and maintain relationships with linked clients;
e) use booking and order features;
f) use subscription plans and their features;
g) receive orders from linked clients;
h) use additional Platform tools (including direct messages) where offered at the time.
2.2. Sportstep is not the coach’s employer, representative, or provider of services to clients. Sportstep is not responsible for the actual delivery of coach services to clients.
2.3. The coach is solely responsible for their activity, its lawfulness, the quality of services provided, communication with clients, qualifications, permits, taxes, accounting, and compliance with other legal requirements.
3. Coach registration and start of cooperation
3.1. A coach may register independently on the Platform and create a coach account by providing all information requested by Sportstep.
3.2. By registering, the coach confirms that:
a) they provide accurate, correct, and up-to-date information;
b) they are entitled to carry out the declared activity;
c) their information and content do not violate laws or third-party rights.
3.3. During account creation, the coach must provide information about themselves and their activity and, where applicable, create or connect a Stripe account required to receive online payments.
3.4. Sportstep may request additional information or documents where necessary for payment activation, security, granting a verified coach badge, legal compliance, or dispute resolution.
4. Subscription plans and their application
4.1. Paid subscription plans may apply to the coach’s use of certain Platform features.
4.2. Subscription plan names, features, limitations, prices, and related information are stated on the Platform or at the time of purchase.
4.3. Subscriptions may be offered:
a) on a monthly basis;
b) on an annual basis.
4.4. Subscriptions renew automatically unless the coach cancels before the end of the current subscription period.
4.5. If the coach cancels a subscription, it expires at the end of the paid period. Until then, the coach may use the relevant plan features unless the account is suspended under these terms.
4.6. Paid subscription fees are non-refundable except where applicable law clearly provides otherwise.
4.7. If a free trial is offered on the Platform, its duration and conditions are stated at purchase.
4.8. A free trial, if offered, applies only once. If a subscription is cancelled and re-purchased, a new free trial does not apply unless clearly stated on the Platform.
5. Fees and processing charges
5.1. The coach agrees to pay all subscription fees and other clearly applicable charges stated on the Platform or at purchase.
5.2. If a client makes an online payment through the Platform (by card, Apple Pay, Google Pay, or other methods offered), a Platform payment processing fee may be deducted from that payment.
5.3. For online payments, Sportstep applies a payment processing fee (3% of the payment amount) as stated on the Platform or at payment initiation. For on-site (cash) payment, this processing fee generally does not apply.
5.4. Discount codes and other price adjustment mechanisms on the Platform may reduce the amount payable by the client; they do not change subscription fees unless clearly stated on the Platform.
6. Payments and payouts to the coach
6.1. Online client payments through the Platform are processed using Stripe payment infrastructure.
6.2. Online payments made by clients are transferred to the coach’s Stripe account after deducting the applicable payment processing fee (if any).
6.3. The coach is responsible for ensuring that payment details, Stripe information, and other required data are correct, complete, and kept up to date.
6.4. Payouts to the coach are made on the 1st and 16th of each month, i.e. every two weeks.
6.5. The actual time for funds to arrive may additionally depend on the payment provider, bank, or other technical circumstances.
7. Coach obligations
7.1. The coach agrees to:
a) provide accurate, non-misleading, and up-to-date information about themselves, qualifications, services, prices, schedule, and other service-related information;
b) carry out their activity lawfully;
c) hold all permits, qualifications, rights, and other documents required under applicable law;
d) serve clients fairly and professionally;
e) not take actions that could harm Sportstep’s reputation, client trust, or Platform operation;
f) comply with these terms, Sportstep rules, and applicable law;
g) use the Platform’s direct messaging feature professionally and in accordance with applicable rules.
7.2. The coach also agrees to promptly update information if their activity details, contact details, status, qualifications, or other significant information changes.
7.3. The coach is solely responsible for their tax, accounting, business registration, and other legal obligations.
8. Verified coach badge
8.1. A verified coach badge or similar designation may be used on the Platform.
8.2. If a coach seeks a verified coach badge, Sportstep may request documents confirming qualifications, for example:
a) a licence;
b) a bachelor’s or other higher education document confirming education in sports;
c) other documents required under Lithuanian law or Sportstep internal procedures.
8.3. A verified coach badge only means that Sportstep has reviewed certain information or documents provided by the coach. It is not an absolute guarantee of service quality, reputation, or results.
8.4. Documents and additional data submitted to obtain a verified coach badge are reviewed only for that purpose and, after review, are deleted and not retained except where retention is required by law.
9. Contact details, communication, and circumvention
9.1. The coach’s contact and communication information on the Platform may be shown at the following levels:
a) public coach directory — contact details chosen by the coach (e.g. work email, phone number) and, if enabled by the coach, a Facebook Messenger link;
b) linked clients — fuller profile access, services, orders, and Platform direct messages;
c) consultations — contact and communication needed to book and conduct a free initial consultation.
9.2. The coach must not use the Platform in a way that circumvents Sportstep processes, fees, or the order system for paid services that can be placed through the Platform by linked clients.
9.3. The coach is prohibited from:
a) encouraging linked clients to book paid services outside the Platform when the order can be placed through the Platform;
b) encouraging a client to cancel an order so they rebook a paid service directly with the coach;
c) deliberately directing linked clients to other channels solely to avoid Sportstep fees or paid service functionality on the Platform.
9.4. Displaying public contact details in the public coach directory or communicating about a free consultation is not in itself a breach of these rules.
9.5. Direct messages on the Platform are intended for professional communication between the coach and a linked client. The coach is responsible for message content and its compliance with law and these terms.
10. Coach content
10.1. The coach is responsible for all content they upload or publish on the Platform, including:
a) profile information;
b) photos;
c) service descriptions;
d) prices;
e) schedules;
f) other information published by the coach.
10.2. The coach confirms that:
a) they have the right to use and publish such content;
b) such content does not infringe others’ rights;
c) such content is not misleading, unlawful, offensive, or otherwise inappropriate.
10.3. Sportstep may refuse to publish, hide, format-correct, or remove coach content if it violates law, these terms, Sportstep rules, or poses reputational, legal, or security risk.
10.4. The coach grants Sportstep a non-exclusive, royalty-free right to use coach-provided content on the Platform and for Sportstep operations, marketing, and service provision to the extent necessary for Platform operation and promoting coach services.
11. Account suspension and restriction
11.1. Sportstep may immediately restrict, suspend, or hide a coach profile or account if it is established or reasonably suspected that the coach:
a) directs clients to circumvent the Platform;
b) provides false information in the profile or documents;
c) behaves improperly towards clients, Sportstep administration, or others;
d) violates laws;
e) poses security or fraud risk;
f) receives numerous justified client complaints affecting Sportstep’s reputation;
g) otherwise breaches these terms.
11.2. Where circumstances allow, Sportstep may request an explanation or additional information before suspending an account, but is not obliged to do so where immediate action is necessary.
11.3. Account suspension or restriction may be temporary or indefinite depending on the nature of the breach, recurrence, and risk to clients, the Platform, or Sportstep’s reputation.
12. Termination of cooperation
12.1. The coach may terminate cooperation with Sportstep at any time by notifying Sportstep administration at [email protected].
12.2. If the coach uses a paid subscription, cancellation takes effect at the end of the paid subscription period unless Sportstep and the coach clearly agree otherwise.
12.3. Sportstep may terminate cooperation with a coach at any time for a justified reason, including breach of these terms, legal risk, reputational risk, or security or fraud circumstances.
12.4. Upon termination of cooperation:
a) the coach profile is hidden;
b) the coach loses access to active coach features unless expressly stated otherwise;
c) data about the coach and related activity continues to be processed to the extent permitted and required by applicable law, including GDPR, accounting, dispute resolution, and other legal requirements.
13. Liability
13.1. Sportstep provides the Platform as a technical and organisational environment. Sportstep does not guarantee a specific number of clients, specific revenue, specific visibility, or a specific commercial result for the coach.
13.2. To the extent permitted by applicable law, Sportstep is not liable for:
a) actions or omissions of clients or coaches;
b) the quality, content, or outcome of coach services;
c) business losses, lost profit, lost business opportunities, or reputational loss;
d) the operation or disruption of third-party providers, including payment infrastructure;
e) temporary Platform outages due to technical, security, maintenance, or other justified reasons.
13.3. The coach is liable for all claims, disputes, losses, or demands arising from their services, activity, information provided, or legal violations.
13.4. Nothing in these terms limits liability where such limitation is not permitted by law.
14. Data protection and confidentiality
14.1. The coach agrees to process Client data lawfully, fairly, and only to the extent necessary to provide services and fulfil lawful obligations.
14.2. If the coach accesses clients’ personal data through the Platform, the coach must ensure security, confidentiality, and use for lawful purposes only.
14.3. The coach must not use Client data obtained through the Platform unlawfully, for incompatible purposes, or in a way that violates Client rights, Sportstep rules, or applicable data protection law.
14.4. Each party agrees not to disclose the other party’s confidential information except where necessary to perform the agreement or required by law.
15. Changes to the terms
15.1. Sportstep may amend these Coach Cooperation Terms if:
a) Platform functionality changes;
b) subscription plans, their application logic, or the fee model changes;
c) laws change;
d) other justified operational needs arise.
15.2. The latest version of these terms is always published on the Platform.
15.3. If changes are significant, Sportstep may additionally inform the coach by email, through the account, or by other appropriate means.
16. Complaints, notices, and disputes
16.1. If the coach has questions, complaints, or disagrees with a Sportstep decision, they may contact Sportstep at [email protected].
16.2. The same email is used for notices regarding termination of cooperation, account suspension, content moderation, fee matters, or other cooperation-related questions.
16.3. These terms are governed by the law of the Republic of Lithuania.
17. Final provisions
17.1. If any provision of these terms is held invalid, unlawful, or unenforceable, the remaining provisions continue in full force to the extent permitted by law.
17.2. These terms form the basis of cooperation between the coach and Sportstep unless otherwise expressly agreed in a separate agreement.
17.3. By using the Platform after publication or update of these terms, the coach confirms agreement with the version in force at that time, except where applicable law requires a different form of consent.
